Terms of Service

These Terms of Service ("Terms") govern your use of the Helm platform operated by Helm Software, LLC ("Helm," "we," "us"). By creating an account or using the Service you agree to be bound by these Terms. If you are using Helm on behalf of an organization, you represent that you have authority to bind that organization and "you" refers to that organization.

1. The Service

Helm provides an AI work platform, a cloud-hosted application for managing clients, projects, tasks, time, invoicing, documents, and AI-driven automations. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service subject to these Terms.

2. Accounts

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity that happens under your account. Notify us immediately at security@gethelm.ai if you suspect unauthorized access.

3. Subscriptions, billing, and trials

  • Plans. Helm offers Starter, Pro, and Business plans, along with Enterprise arrangements. Features and limits are described on our pricing page.
  • Billing. Paid subscriptions are billed in advance on a monthly or annual basis via Stripe. Fees are non-refundable except where required by law.
  • Renewals. Subscriptions renew automatically at the end of each term. You may cancel at any time from the Billing page; cancellation takes effect at the end of the current term.
  • Trials. Free trials convert to paid subscriptions unless canceled before the trial ends.
  • Transaction fees.When you collect client payments through Helm's invoicing, a platform fee applies based on monthly volume, in addition to Stripe processing fees.
  • Taxes. Fees exclude applicable taxes, which are your responsibility.
  • Price changes.We may change pricing with at least 30 days' notice before your next renewal.

4. Your content

You retain ownership of all data, files, messages, and other content you or your team submit to the Service ("Customer Content"). You grant Helm a worldwide, non-exclusive license to host, process, copy, transmit, and display Customer Content solely to operate and improve the Service for you.

You are responsible for Customer Content, including its legality, accuracy, and your right to submit it. You represent that Customer Content does not infringe any third-party rights and that you have obtained any consents required to upload information about your clients, contacts, and employees.

5. AI features

Helm offers AI agents, chat, and automations powered by third-party language model providers. AI output may be incorrect, incomplete, or inappropriate. You are responsible for reviewing AI output before relying on it, and for ensuring that actions taken by AI agents (including actions executed automatically) comply with your obligations to your clients and regulators.

We do not use Customer Content to train foundation models. Our AI sub-processors act as data processors and do not retain your content for training.

6. Acceptable use

You agree not to:

  • Violate any law or regulation or infringe anyone's rights.
  • Upload malware, attempt to gain unauthorized access, probe for vulnerabilities, or disrupt the Service.
  • Reverse engineer, decompile, or copy the Service, except to the extent permitted by law.
  • Use the Service to send spam, run phishing campaigns, or deliver content that is abusive, harassing, discriminatory, or sexually exploitative of minors.
  • Resell or sublicense the Service without a written agreement with Helm, outside of the client-portal and white-label features included in your plan.
  • Use the Service to build a competing product or benchmark it for publication without our prior written consent.

7. Third-party services

The Service integrates with third-party services (e.g. Stripe, Slack, Google). Your use of those services is governed by their terms, and Helm is not responsible for their availability, content, or practices.

8. Confidentiality

Each party will protect the other's confidential information with at least the same care it uses for its own, and no less than reasonable care. Customer Content is your confidential information.

9. Termination

You may terminate your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if required by law. Upon termination your access ends and Customer Content is deleted in accordance with our Privacy Policy. You can export Customer Content prior to termination using the Import / Export tools.

10. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Helm does not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. HELM'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO HELM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend and indemnify Helm against claims arising from your breach of these Terms, your Customer Content, or your use of the Service in violation of law or third-party rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware. Nothing here prevents either party from seeking injunctive relief in any court of competent jurisdiction.

14. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. If a change materially reduces your rights, we will provide at least 30 days' notice by email or in-app. Continued use after the change's effective date means you accept the updated Terms.

15. General

These Terms, together with the Privacy Policy and any order form or written agreement signed between the parties, constitute the entire agreement between you and Helm. If any provision is unenforceable the rest will remain in effect. Helm's failure to enforce a right does not waive that right. You may not assign these Terms without our consent; Helm may assign them in connection with a reorganization or sale.
